The following Terms of Service apply to your use of the Legalspace Services Unless otherwise agreed upon in writing between you and Legalspace.Legalspace.ai ("Legalspace," "we," "us," or "our") offers services related to legal technology. The following document outlines the terms of service (the "Terms") that apply to your use of Legalspace's services, artificial intelligence technologies (the "AI Services"), websites, applications, plug-ins, add-ons, functionality, and programs, as well as any other services that may be mentioned in any mutually executed order form (collectively, the "Legalspace Services" or "Services").Gujarat, India-based Legalspace is the publisher of the legal information made accessible via our website ("the Service"), which can be accessed at https://www.legalspace.ai or any other URL that we decide to choose later ("Publisher").You acknowledge and agree to these Terms with Legalspace by using any of the Legalspace Services, with or without registration, by clicking the "I accept" button, or by performing an action to show acceptance. You certify that, by accepting these Terms, you are an authorized representative of any business or other legal entity that you are consenting on behalf of.
Registration
Legalspace requires you to create an account by filling out a registration form and choosing a user ID and password before you can access and use the services. You acknowledge that, in creating an account with Legalspace, you will: (a) provide true, accurate, current, and complete information about yourself as requested by the registration form provided by the Legalspace Service (hereinafter referred to as the "Registration Data"); and (b) maintain and promptly update the Registration Data to ensure that it remains true, accurate, current, and complete. We reserve the right to suspend or terminate your account and prevent you from using the Legalspace Services (or any portion thereof) in the future if you provide any information that is false, inaccurate, out of date, or incomplete, or if we have reason to believe that the information is accurate, out of date, or incomplete.It is not permitted for any third party to utilize the Legalspace Services on your behalf. You bear all responsibility for any actions taken under your account, including keeping your user ID and password private. You consent to report any unauthorized use of your account or other security violation to Legalspace very away. Legalspace disclaims all liability for any loss or harm resulting from any unauthorized use of your account. By giving us your email address, you consent to receive any necessary notifications there.
Services, Restrictions and Customer Obligations
(a) Legalspace grants you and your Authorized Users (described below), subject to your compliance with these Terms, the nonexclusive, nontransferable, non-sublicensable, revocable right to use and access the Services in accordance with the documentation, all applicable local, state, federal, and international laws, rules, and regulations, and only for your internal business purposes. You must be at least eighteen to utilize our service. You affirm and guarantee that you are of legal age to consent to these terms and that you have the mental capacity to do so.(b) You consent to refrain from doing any of the following, and to help, permit, or enable any third party to perform any of the following, unless a limitation is made illegally.- Use any robot, crawler, scraper, data mining tool, data collection or extraction tool, or any other automated means to access, collect, copy, or record the Services; - disassemble, reverse engineer, decode, or decompile any portion of the Services;- Copying, renting, leasing, selling, lending, transferring, assigning, sublicensing, reselling, distributing, changing, creating derivative works from, or renting, leasing, any portion of the Services or our Intellectual Property (as defined below);- Utilize the Services in any way that could affect (i) our servers' reliability, (ii) how well the Services function or how any User uses them, or (iii) how other apps that use the Services behave;- Use the Services in any way or for any purpose that can (i) incite or encourage the violation of any applicable law, regulation, legal requirement, contractual obligation, or right of any person, including but not limited to rights of privacy, intellectual property, or personality; (ii) be fraudulent, false, deceptive, or defamatory; (iii) incite hatred, violence, or harm against any individual or group; or (iv) otherwise be harmful or -m - - - - objectionable (in our sole discretion) to us, our providers, our suppliers, our users, or any other third party;- Use or display the Services against us, to create rival goods or services, for benchmarking or competitive analysis of the Services, or in any other way that would be detrimental to us;- Make an effort to tamper with, undermine the security or integrity of the system, or decode any communications to or from the servers hosting the Services;- Utilize the Services to distribute worms, viruses, or other software agents;- Use the Services for any intrusive or fraudulent purpose, pretend to be someone else, misrepresent your affiliation with a person or entity, conceal or try to conceal your identity;– Distribute passwords or log-in credentials for the Services, or do any other action that gets in the way of any security measures we might put in place to limit access to the Services or impose usage restrictions; or- Use our name or the Services to identify us or in any way that can reasonably be interpreted as endorsing, associating with, or sponsoring us or you (or a third party) without getting our prior, in-writing authorization.
Payments
A non-transferable, non-exclusive license (the "License") to use the information database containing data and, where applicable, the facsimile of the published pages is granted to Legalspace, the party subscribing to the Service (the "Licensee"), upon payment of the entire license fee.You permit us to share your payment details with third parties when you start a payment transaction so that we can finish it and charge your payment method in Indian Rupees. Refunds for the payment charge are not available. Any taxes, fees, and charges that are currently in effect or may be levied in the future belong to the user. The subscription is provided with the restrictions as follows: (a) Conducting research or study related to academia or education; (b) Giving students academic or educational guidance; and (c) Conducting legal research and study related to a legitimate profession or vocation only ("Permitted Purposes"). (d) drafting the document and using it as needed (e) uploading the documents to make a legal document out of them (f) utilizing the AI conversation tool (g) adding annotations under the notes tab (h) Getting our iPad and tablet application and using it.
Intellectual Property Rights
Unless specifically indicated otherwise in these Terms, neither party shall have any rights, express or implied, to the other's intellectual property or material. As between the parties, User owns all intellectual property rights in User Content (described below), and Legalspace owns all intellectual property rights in and to the Services, including any derivative works and software, products, support, documentation, aggregated and statistical data, and related works."User Content" refers to any data, information, and submissions made by Users to, uploaded from, or utilized in conjunction with the Services. Legalspace makes no ownership claims about your User Content. Your User Content is entirely your responsibility. You take full responsibility for any dangers arising from using your user content. It is your representation and warranty that the User Content you have provided does not infringe upon any third party's intellectual property rights or privacy rights, or violate any of the User obligations listed in Section 1(b) or elsewhere in these Terms. Regarding any of your User Content, we accept no liability and no duty.
Confidentiality
The parties understand and agree that certain sensitive information (referred to as "Confidential Information") of one party (referred to as the "Disclosing Party") may be accessible to each other (the "Receiving Party"). "Confidential Information" refers to any information that the disclosing party provides to the receiving party under this agreement that is (i) proprietary and/or non-public information about the business operations of the disclosing party, its subsidiaries, and its affiliates, including any financial, pricing, or business plan information; (ii) the terms of any subscription agreement; and/or (iii) any other information that the disclosing party designates as confidential.Services provided by Legalspace are likewise considered Confidential Information, and Drafts and Reports provided by Users are also considered Confidential Information. Non-confidential information excludes any information that: (a) was already publicly known or accessible at the time of disclosure; (b) was lawfully disclosed to the receiving party by a third party; or (c) was already in the receiving party's possession without restriction prior to the date of receipt from the disclosing party, or (d) independently developed by the receiving party without referring to or using the confidential information of the disclosing party; provided, however, that in each case, the receiving party did not obtain such information as a result of any unlawful, unethical, or unapproved act or omission, or as a result of a breach of this agreement or of any other duty owed to the disclosing party, whether legal, ethical, or fiduciary.Under no circumstances may the Receiving Party use the Disclosing Party's Confidential Information for purposes other than those allowed under this Agreement;(2) disclose, distribute, or disseminate the Confidential Information to any third party except as permitted by this Agreement or to the extent required to comply with applicable law; and(3) not use the Confidential Information for any purpose other than those permitted under this Agreement.
Termination
The Publisher may terminate the License at their sole discretion if:Breach of the License's termsThe Licensee, its staff, partners, allies, servants, and agents may misuse or overuse the database. In these circumstances, there would be no reimbursement of any portion of the license price. The Licensee will instantly lose all rights and licenses with regard to the Database or any portion of it upon termination of the License.
Liability
Despite taking every reasonable precaution to guarantee the accuracy and completeness of the Database, no liability will be accepted for any errors or omissions in the Database by the Publisher, Licensor(s), or its agents. The Licensee understands that the Database should only be used as a reference tool; it should not be used in place of the Authorized Users' exercise of professional judgment. The licensee consents to refrain from basing business decisions exclusively on the information in the database without conducting independent verification.Publisher/Licensor and its agents shall not be held accountable for any failure to fulfill obligations if said failures stem from uncontrollable events, such as acts of God, governmental actions, fire, explosion, accidents, power outages, malfunctioning equipment or systems, labor disputes, epidemics, or pandemics.Any indirect, incidental, or consequential loss, including loss of profit, revenue, data, or goodwill, resulting from the Licensee's use or misuse of the Database or any part of it, or from any inability to use the Database, will not be covered by Publisher/Licensor or its agents. Neither will they be responsible for any wasted management time, costs, or expenses resulting from such loss.Any rights not specifically granted in this article are reserved.
Representation And Warranties
By using our AI creation tool or the "Browse Law" page, the user accepts that the information is probabilistic and is purely the result of a machine learning model. Since it is relevant to your use case, it should be assessed for accuracy, possibly with the help of a human reviewer of this type of output. When using AI services, you and your end users are in charge of all the choices you make, suggestions you make, actions you take, and inactions you make.
Third Party Websites
Links to third-party websites, content providers, advertising, services, special offers, and other events or activities that are not under our ownership or control may appear on the Legalspace Services. Regarding any of these external websites, content, goods, or services, we neither support nor take any liability. You acknowledge and agree that using a third-party website that you find through Legalspace Services is at your own risk and is not subject to our privacy policy or these terms. You ought to study third-party websites' privacy policies carefully before visiting any of them. Any third-party website's security, privacy, or content are not our concern.
Cancellation Procedure
Your Subscription(s) is cancelable at any moment, however, you will still be responsible for the Subscription Fees until the end of the Subscription term. When your subscription is about to renew, "We" will let you know. If you would like to cancel, please email [email protected]. To end your subscription for the duration, you can also stop the automatic payment. Even after the Subscription Term expires, you will still be able to access the Services.India's legal system shall apply to the interpretation and application of this End User Agreement and its Terms & Conditions.Any claims or disputes originating from or connected to these Terms and Conditions and this End User License Agreement will only be brought before Gujarat, India's courts, forums, or tribunals.By being forbearing or delaying the execution of these terms and conditions, the Publisher / Licensor(s) shall not be regarded to have waived any of their rights or any of their provisions. Their ability to later enforce those rights or provisions will not be affected by such delay or forbearance.These terms and conditions could change at any time without notice. It is recommended that you periodically examine the most recent version of the End User License Agreement Terms & Conditions.
